Terms & Conditions for Settled

These Terms & Conditions (“Terms”) govern your use of services provided by Settled (“we,” “us,” or “our”). By purchasing or using our services, you agree to these Terms.

If you do not agree, please do not use our services.


1. Overview of Services

Settled provides a done-for-you inbound marketing system designed to help moving companies generate inbound inquiries from homeowners who are actively selling their homes.

Services may include:

Audience targeting and list assembly

Direct mail outreach

Email and SMS outreach

Inbound call routing or notifications

Lead forms and automation

Territory exclusivity (where applicable)

Settled provides marketing services only and does not guarantee leads, booked jobs, revenue, or specific outcomes.


2. No Guarantees or Promises of Results

Marketing performance varies based on factors outside Settled’s control, including but not limited to:

Market conditions

Seasonality

Competition

Client responsiveness and follow-up

Sales process and call handling

Settled makes no guarantees regarding:

Lead volume

Conversion rates

Revenue

Timing of results

By using our services, you acknowledge and accept this variability.


3. Territory Exclusivity

Where explicitly stated, Settled works with one moving company per city for the duration of an active subscription.

Territory exclusivity:

Applies only during active, paid billing periods

Is released immediately upon cancellation, non-payment, or termination

Is defined at Settled’s discretion based on geographic boundaries

Exclusivity does not survive account suspension or cancellation.


4. Minimum Activation Period

Due to the nature of direct mail and inbound marketing systems, all subscriptions include a minimum initial activation period of four (4) weeks.

This minimum period allows sufficient time for:

Campaign setup and deployment

Mail delivery

Audience exposure

Initial response cycles

Subscriptions canceled before the completion of the initial four-week period remain subject to full payment for that period.

After the initial activation period, services continue on a week-to-week basis unless canceled in accordance with these Terms.


5. Client Responsibilities

Clients agree to:

Respond promptly and professionally to inbound inquiries

Maintain proper licensing, insurance, and legal compliance

Provide accurate business information

Follow ethical sales and follow-up practices

Settled is not responsible for:

Missed calls

Delayed responses

Poor customer service

Failure to close opportunities


6. Billing & Payments

Services are billed weekly, typically at $250 per week, unless otherwise agreed in writing.

By subscribing, clients authorize recurring charges to the payment method on file.

Payments:

Are non-refundable

Are required to maintain active service and exclusivity

Must be kept current to avoid suspension or termination

Failed payments may result in immediate service interruption.


7. Cancellation & Termination

Clients may cancel service after the initial activation period by providing written notice.

Upon cancellation:

Services cease at the end of the current billing cycle

Territory exclusivity is released

No refunds are issued for prior payments

Settled reserves the right to terminate service immediately if:

Terms are violated

Payments fail

Client behavior is unethical, abusive, or unlawful

Compliance or reputational risk arises


8. Compliance & Outreach Practices

Settled uses reasonable efforts to comply with applicable marketing regulations and industry best practices.

However:

Settled does not provide legal advice

Clients remain responsible for their own compliance obligations

Clients agree to indemnify Settled against misuse of data or outreach

SMS communications are intended for informational and transactional purposes.


9. Data Use & Ownership

Any data provided or generated:

Is for the client’s internal business use only

May not be resold, shared, or redistributed

Remains the property of Settled or its data partners where applicable

Improper or unlawful use of data may result in termination.


10. Limitation of Liability

To the fullest extent permitted by law:

Settled shall not be liable for indirect, incidental, or consequential damages

Total liability shall not exceed the amount paid by the client in the prior thirty (30) days

Clients acknowledge that marketing involves inherent risk.


11. Force Majeure

Settled shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to:

Acts of God

Natural disasters

Government actions

Postal disruptions

Technology or vendor failures

Labor disputes


12. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the State of New York, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts located within New York / Schuyler County.


13. Changes to Terms

Settled reserves the right to modify these Terms at any time.

Continued use of services after changes constitutes acceptance of the updated Terms.
